Landis+Gyr Group today launched a fixed-price offer and terminated the previous share buyback program.

Landis+Gyr Group AG (SIX: LAND), a global energy technology leader driving intelligent innovation across the grid, today announced the result of its public fixed-price share buyback offer of up to CHF 50 million.

On August 3, 2026, Landis+Gyr announced that it would repurchase up to 1,000,000 registered shares at a fixed price of CHF 50.00 per share, for a total amount of up to CHF 50 million. The offer period ran from August 4, 2026, to August 18, 2026, at 12 p.m. CEST.

Under the terms of the buyback offer, shareholders tendered a total of 4,106,869 registered shares. As the number of shares tendered exceeds the maximum number of 1,000,000 registered shares, the tendered shares will be accepted on a pro rata basis at an acceptance ratio of 24.35%. Payment of the net buyback price and delivery of the registered shares will take place on Friday, August 21, 2026. Upon the completion of the fixed-price offer, Landis+Gyr now holds 2,285,464 own shares, equivalent to 7.91% of the outstanding share capital.

Following completion of the fixed-price offer, Landis+Gyr intends to launch a new share buyback program for the remaining portion of the previously announced USD 175 million capital return from the EMEA divestment to shareholders.
